Terms of Service

1. Acceptance of Terms

By installing, accessing, or using Whapi ("the App," "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the App. These terms constitute a legally binding agreement between you and Whapi.

2. Description of Service

Whapi is a Shopify application that enables merchants to automate WhatsApp messaging for their e-commerce operations, including but not limited to abandoned cart recovery, order confirmations, shipping notifications, and COD verification. The Service uses the official WhatsApp Business Platform API.

3. Eligibility

To use Whapi, you must:

  • Have an active Shopify store.
  • Have access to a WhatsApp Business account or phone number.
  • Comply with WhatsApp Business Policy and Commerce Policy.
  • Be at least 18 years old or the age of majority in your jurisdiction.

4. Account and Billing

You are responsible for maintaining the confidentiality of your account credentials. Billing is processed through Shopify's billing system. Subscription fees are charged monthly and are non-refundable except as required by law. WhatsApp conversation charges are separate and billed by Meta according to their pricing.

5. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited messages, or messages to customers who have not opted in.
  • Violate any applicable laws, regulations, or third-party rights.
  • Send content that is illegal, harmful, threatening, abusive, or otherwise objectionable.
  • Attempt to reverse engineer, decompile, or hack the Service.
  • Interfere with or disrupt the Service or servers.
  • Resell or redistribute the Service without authorization.

6. WhatsApp Compliance

You are solely responsible for ensuring your use of WhatsApp through our Service complies with WhatsApp's Business Policy, Commerce Policy, and all applicable Meta policies. Violation of WhatsApp policies may result in your WhatsApp Business account being restricted or banned. Whapi is not responsible for any actions taken by WhatsApp/Meta against your account.

7. Service Availability and Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

While we strive to provide reliable service, we cannot guarantee that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • All messages will be delivered successfully to recipients.
  • The Service will meet your specific requirements or expectations.
  • Any errors in the Service will be corrected.

We are not responsible for messages that fail to send, are delayed, or are not delivered due to technical issues, WhatsApp platform limitations, network problems, incorrect phone numbers, or any other reason. Message delivery depends on third-party services (WhatsApp/Meta) that are outside our control. We make our best efforts to ensure reliable message delivery, but delivery cannot be guaranteed.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHAPI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, or business opportunities.
  • Damages resulting from service interruptions, message failures, or missed messages.
  • Any damages arising from your use or inability to use the Service.

Our total liability for any claims arising from these Terms or use of the Service shall not exceed the amount you paid to us in the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Whapi from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Intellectual Property

The Service, including its design, features, and content, is owned by Whapi and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes. You may not copy, modify, distribute, or create derivative works from the Service.

11. Termination

You may terminate your use of the Service at any time by uninstalling the App from your Shopify store. We may suspend or terminate your access to the Service immediately, without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through the App. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Whapi operates, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
